Partner Program Terms & Conditions
These Bigdata.com Partner Program Terms and Conditions (these “Terms”) govern participation in the Bigdata.com Partner Program (the “Program”) operated by RavenPack International S.L.U., a company incorporated in Spain with a registered office at Centro de Negócios Oasis, Urb. Villa Parra, Ctra. de Cádiz Km. 176 29602, Marbella -Spain (“RavenPack”, “we”, “us”, or “our”) and are entered into between RavenPack and the person or entity enrolling in the Program (“Partner” or “you”) (each of RavenPack and the Partner, a “Party”).
You accept these Terms by ticking the acceptance box or clicking “Join” (or an equivalent button) when enrolling in the Program. If you enrol on behalf of an entity, you represent that you are authorised to bind it. A record of your acceptance, including the version accepted and the date and time of acceptance, is kept through the Partner Dashboard, and you will receive an email confirming your acceptance together with a copy of these Terms.
1. Definitions and interpretation
In these Terms, the following capitalised terms have the meanings set out below. Other capitalised terms have the meanings given to them where they are defined in these Terms.
“Affiliate” means, in relation to RavenPack, any entity that directly or indirectly controls, is controlled by, or is under common control with RavenPack, where “control” means the ownership of more than 50% of the voting rights in, or the power to direct the management of, that entity.
“Attribution Window” means the period following a click on a Referral Link, as set out in the Program Rules, within which a sign-up or a Qualifying Purchase may be attributed to that Referral Link.
“Brand Assets” means the names, logos, trademarks and other brand materials of RavenPack and Bigdata.com that we make available to you through the Partner Dashboard or otherwise in writing for use in the Program.
“Business Day” means a day other than a Saturday, a Sunday or a public holiday in Madrid, Spain or in New York, New York, United States.
“Commission” means the referral fee that may become payable to you in respect of a Qualifying Purchase made by a Referred Customer, calculated at the rates, and subject to the Attribution Window, the commission period, any maximum commission amount and the other conditions, set out in the Program Rules and in these Terms. Unless the Program Rules provide otherwise, Commissions are calculated on the amounts actually received by RavenPack from the Referred Customer for the Qualifying Purchase, excluding VAT, sales and similar taxes, and net of any discounts, credits, refunds and chargebacks. A Commission is a fee for the introduction of potential customers only and is not remuneration for negotiating or concluding any contract on behalf of RavenPack. A Commission becomes payable only once approved by RavenPack after the end of the Validation Period, and only by Dub in accordance with Section 4.1.
“Dub” has the meaning given in Section 3.1.
“Dub Partner Terms” means the partner terms of service of Dub, as amended from time to time, which govern your Partner Account and the payment of Commissions.
“Feedback” has the meaning given in Section 8.
“Partner Account” means the account you open on the partner platform operated by Dub in order to participate in the Program.
“Partner Content” has the meaning given in Section 8.
“Partner Dashboard” means the dashboard made available to you through your Partner Account, in which the Program Rules, your Referral Links, referral data and Commissions are displayed.
“Platform” means the Bigdata.com data and analytics platform operated by RavenPack, including its websites, applications, APIs and MCP servers.
“Program Rules” has the meaning given in Section 3.1.
“Public Official” means: (a) any officer or employee of any government, ministry, department, agency or other public body of any country, or of any entity owned or controlled by any of them (including public universities, public research institutions, central banks and state-owned enterprises); (b) any officer or employee of a public international organisation; (c) any political party, party official or candidate for political office; and (d) any person acting in an official capacity for or on behalf of any of the foregoing.
“Qualifying Purchase” means a purchase of a paid subscription, plan or usage allowance for the Platform made by a Referred Customer through the Platform’s self-service checkout that meets the conditions set out in these Terms and the Program Rules. A purchase made under an enterprise agreement or order form negotiated with RavenPack is not a Qualifying Purchase.
“Referral Link” means the unique referral link, code or other tracking method made available to you by RavenPack or Dub through the Partner Dashboard.
“Referred Customer” means a person or entity that signs up for the Platform after clicking your Referral Link within the Attribution Window, whose referral is attributed to you in accordance with Section 3 and is not excluded under Section 3.1.
“Validation Period” has the meaning given in Section 3.1.
In these Terms, the words “including”, “include” and “for example” are illustrative and do not limit the words that precede them, and headings are for convenience only and do not affect interpretation.
2. Program participation
The Bigdata.com Partner Program allows approved Partners to promote Bigdata.com and refer potential customers to our products or services.
We may approve, reject, suspend, or remove any Partner from the Program at our discretion. Participation in the Program does not guarantee that any referral, sale, reward, Commission, or other benefit will be approved or paid.
To participate, you must: (a) be at least 18 years old; (b) not be, or be owned or controlled by, a person designated on, or resident in a country subject to, sanctions administered by the United States, the European Union, the United Kingdom or the United Nations; (c) not be an employee, officer or contractor of RavenPack or its Affiliates; and (d) have obtained any authorisation required by your employer, by any regulator or, if you work for a public body or university, under any rules on incompatibilities or outside activities applicable to you.
Partners are responsible for keeping their account information accurate and for complying with these Terms and the Program Rules.
3. Referrals and attribution
3.1 Eligible referrals
A referral is only eligible if it is made in accordance with these Terms and the Program Rules.
Partners must use their Referral Links. Referrals that are not properly tracked through our approved systems may not be eligible for credit.
Partners may not refer to themselves, their own accounts, their own businesses, or accounts they control. Self-referrals, duplicate accounts, and attempts to artificially create referral credit are prohibited.
Referrals for existing customers, prior leads, or people already in an active buying process with RavenPack are not eligible. In addition, no Commission accrues in respect of: (a) any account opened by or for your employer or any entity in whose purchasing decisions you participate; (b) any account governed by an enterprise agreement or order form negotiated with RavenPack, from the date on which it becomes so governed; or (c) any account that existed on the Platform during the 12 months before the click on your Referral Link. Attribution is determined on the basis of the tracking data recorded by our partner platform provider, Dub Technologies, Inc. (“Dub”), in the absence of error. Commission rates, the Attribution Window, the commission period and any maximum commission amount are set out in the Program rules displayed in your Partner Dashboard (the “Program Rules”). Unless the Program Rules provide otherwise, the Attribution Window is 45 days from the date of the click on your Referral Link, and a Commission accrues only if the Referred Customer makes its first Qualifying Purchase within the Attribution Window Each Commission is subject to a validation period of 60 days from the date of the relevant Qualifying Purchase (the “Validation Period”) to allow for refunds, chargebacks and fraud review.
We reserve the right to review, approve, reject, reverse, or adjust any referral that appears fraudulent, abusive, incorrectly tracked, or inconsistent with these Terms.
3.2 Competing referrals
Only one Partner may receive a Commission for any customer or account. If more than one Partner’s Referral Link is associated with the same customer or account, the Commission will be credited to the Partner whose referral was the last tracked click before the customer signed up or made the Qualifying Purchase within the Attribution Window, unless the Program Rules provide otherwise.
Where tracking data is incomplete, inconsistent or disputed, or where we reasonably consider that the last-click rule would produce an unfair or abusive result (for example, because of cookie stuffing or attribution manipulation), we will determine attribution reasonably and in good faith, taking into account the available tracking data and records.
4. Commissions and payouts
4.1 Payouts and payout compliance
Commissions approved by RavenPack are paid to you by Dub, in its own name and for its own account, through your Partner Dashboard and in accordance with the Dub Partner Terms, which you must accept to receive payouts. Your right to payment of approved Commissions is exercisable solely against Dub. RavenPack has no payment obligation towards you, and Dub does not act as RavenPack’s agent or payment intermediary. Partners are responsible for any taxes, reporting obligations, and other requirements that apply to payments they receive through the Program. Before receiving payments, Partners are required to complete tax forms, identity verification, sanctions screening, payout provider onboarding, or other compliance checks with Dub; RavenPack does not collect tax documentation from you. Payments may be withheld until these requirements are completed. RavenPack is not liable for any delay or failure in a payout caused by Dub, by any payment service provider or by inaccurate information you provide.
RavenPack reviews Commissions monthly. Unless a Commission is under review under Section 3.1 or Section 10, RavenPack will approve or reject each Commission by the end of the calendar month following the month in which its Validation Period ends. As a result, an approved Commission will normally be available for payout approximately two to three months after the relevant Qualifying Purchase. Payout dates, payout methods, currencies, any minimum payout amount and any fees charged by Dub or its payment service providers are determined by Dub, displayed in your Partner Dashboard and governed by the Dub Partner Terms.
4.2 Reversals, recovery and set-off
If, after a Commission has been paid, the underlying payment is refunded, charged back, cancelled or not received, or we determine that the Commission was paid in error or relates to a referral that breached these Terms, that Commission is not owed. We may then, at our sole election and in any combination:
(a) require you to repay the amount concerned to Dub, within 30 days of our written request; and/or
(b) deduct the amount concerned from any Commission that is, or later becomes, payable to you under the Program, and instruct Dub to make that deduction.
Our right to recover amounts under this Section 4.2 survives the termination of your participation. It applies to amounts paid up to 12 months before the date of our request, or without time limit in the case of fraud or wilful breach.
5. Promotion rules
Partners must promote RavenPack honestly, clearly, and in a way that reflects positively on our brand.
Partners shall not use paid advertising to promote RavenPack without our prior written approval.
Partners shall not bid on or use, in paid search or other paid advertising, any of our names or trademarks, or any misspelling or confusingly similar term, as keywords, ad copy or display URLs.
Partners shall not promote RavenPack or Bigdata.com on coupon, deal, cashback, loyalty, or discount-oriented websites, or offer any rebate, discount or other incentive in exchange for sign-ups, without our prior written approval.
Partners may not use spam, purchased lists, scraped contacts, bots, automated bulk messages, or unsolicited outreach to promote RavenPack. If you promote RavenPack or Bigdata.com by email, SMS or other electronic message, you must:
(a) send messages only to recipients who have given their prior consent to receive them, or for whom another lawful basis exists under the electronic communications laws applicable to that recipient, and keep a record of each recipient’s consent, including its date and source;
(b) clearly identify yourself as the sender and send only from an email address or domain that you own or control, and not use the names RavenPack or Bigdata.com, any of our trademarks, or any misspelling or confusingly similar term, in the “From” name or address, in the sending domain or in any other way that suggests the message is sent by us;
(c) include in every message a clear and working means to unsubscribe, and give effect to unsubscribe requests, and to any suppression list we provide to you, within 10 Business Days; and
(d) on our request, and to the extent permitted by applicable law, provide to us within 10 Business Days the list of recipients of the relevant messages, evidence of their consent and copies of the messages sent. We will use that information only to verify your compliance with these Terms and applicable law and to handle any related complaint.
Partners must clearly disclose their relationship with RavenPack when promoting us. Any endorsement, review, post, video, email, or other promotional content should make it clear that the Partner may receive compensation.
Partners may not make false, misleading, exaggerated, or unsupported claims about RavenPack, our products, pricing, discounts, results, guarantees, or relationship with the Partner. Partners may not imply that they are employees, agents, or official representatives of RavenPack.
Bigdata.com is a financial data and analytics service and RavenPack does not provide investment advice. Partners shall not: (a) state or imply that the Platform or its outputs constitute investment advice or a recommendation; (b) make claims about investment returns, performance, predictive accuracy or back-tested results, other than claims we provide in writing; (c) publish investment recommendations attributed to RavenPack or its outputs; or (d) disseminate false or misleading information concerning any financial instrument or issuer, or otherwise engage in conduct that may constitute market abuse under Regulation (EU) No 596/2014 or equivalent laws, including U.S. securities laws.
Partners are responsible for ensuring that their promotional activity complies with applicable laws, advertising rules, privacy requirements, and platform policies.
Partners may not appoint, engage or permit any sub-affiliate, sub-partner, agent, affiliate network or other third party to promote RavenPack, use their Referral Link or perform any of their activities under these Terms, unless we have approved that third party in advance and in writing. Where we have approved a third party, the Partner remains responsible for its acts and omissions as if they were its own and is solely responsible for any remuneration owed to it, and the third party has no claim against RavenPack. No Commission accrues on referrals generated by a third party that has not been approved.
6. Anti-bribery and anti-corruption
You must comply with all applicable anti-bribery and anti-corruption laws, including the U.S. Foreign Corrupt Practices Act of 1977, the UK Bribery Act 2010 and the Spanish Criminal Code (Ley Orgánica 10/1995), and with any anti-corruption policy we notify you.
In connection with the Program, you must not, directly or through any third party, offer, promise, give, request or accept any payment, gift, hospitality, commission, discount, rebate or other advantage in order to:
(a) improperly influence any person to sign up for, purchase or recommend Bigdata.com; or
(b) obtain or keep any business or advantage for you or for RavenPack.
This applies in particular to any Public Official and to any director, officer, employee or agent of a prospective customer.
You must not share your Commissions with, or pass any part of them to, any person who takes part in a prospective customer’s purchasing decision.
You represent that neither you nor, if you are an entity, any of your owners, directors or officers is a Public Official. You also represent that none of them is involved in the purchasing decisions of any Referred Customer. You must tell us promptly if this changes.
You must tell us promptly if you become aware of, or are asked to take part in, any conduct that breaches this Section 6.
If you breach this Section 6, we may terminate your participation immediately, without notice. No Commission accrues, or remains payable, in respect of any referral connected with the breach.
7. Brand usage
Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable, royalty-free licence, for the duration of your participation, to use the Brand Assets, solely in connection with approved promotion of the Program and in accordance with our brand guidelines. The Platform contains data and content licensed to us by third parties. You may not reproduce or publish any data, outputs or screenshots obtained from the Platform, other than materials we provide for that purpose, without our prior written approval. All goodwill arising from your use of our trademarks belongs to RavenPack.
Partners may not register, purchase, or use domains, subdomains, social handles, ads, search keywords, business names, app names, or other identifiers that include our name, trademarks, misspellings, or confusingly similar terms.
Partners may not create websites, landing pages, profiles, or materials that appear to be owned, operated, or officially controlled by RavenPack.
We may ask Partners to update or remove any content, brand usage, or promotional material that we believe is inaccurate, outdated, misleading, or inconsistent with our brand.
8. Your content and feedback
You grant RavenPack and its Affiliates a worldwide, non-exclusive, royalty-free, sublicensable licence to use any promotional content you create in connection with the Program (“Partner Content”), including in our websites, social media, newsletters, sales materials and other marketing. The licence covers reproducing, displaying, distributing, adapting, translating and excerpting that content. It continues for the duration of your participation and, for Partner Content already used or published by us before termination, indefinitely afterwards.
You also grant us the right to use your name, trade name, logo, and, if you are an individual and you have provided them for this purpose, your image and likeness, to identify you as a partner of the Program.
We will not make any new use of your image or likeness after termination where you ask us in writing not to.
You represent that you own, or have all necessary rights to grant the licences above in, your Partner Content. You also represent that its use as permitted by these Terms will not infringe the rights of any third party. To the extent permitted by law, you waive, or agree not to assert, any moral rights in Partner Content against RavenPack.
If you give us any suggestions, ideas or other feedback about the Program, the Platform or our products (“Feedback”), we may use it freely, for any purpose, without any obligation or payment to you. Feedback is not your confidential information.
9. Use of the Platform
If we give you access to the Platform in connection with the Program (for example, a complimentary account, demo account, early access or API/MCP credentials), that access is personal, non-transferable, revocable and limited to the usage allowance we notify. It may be used only to evaluate the Platform and prepare promotional content in accordance with these Terms. It is not compensation, and it is subject to the Bigdata.com Terms and Conditions. You may not: (a) use it for the benefit of any third party (including your employer or clients) or for any commercial or production purpose; (b) share your credentials or API keys; (c) scrape, bulk-download, store or redistribute data or outputs; (d) use data or outputs to train or evaluate any AI or machine learning model or to build a competing product; or (e) publish benchmarks or performance tests without our written approval. We may monitor, suspend or withdraw this access at any time, and it ends automatically when your participation ends.
10. Records and audit
You must keep accurate records of your promotional activities, including the channels, campaigns, approved third parties and traffic sources used to promote RavenPack, and the consent and unsubscribe records referred to in Section 5, for the duration of your participation and 12 months thereafter, and provide them to us on request within 10 Business Days. We, or an independent auditor bound by confidentiality, may audit those records on 10 Business Days’ notice, no more than once in any 12-month period unless we reasonably suspect a breach of these Terms. Each Party bears its own audit costs, unless the audit reveals a material breach, in which case you will reimburse our reasonable costs. We may withhold approval of Commissions until you comply with this Section 10, and reverse any Commission related to activity in breach of these Terms.
11. Compliance, suspension and termination
We may monitor Partner activity to protect our customers, brand, and Program. We may suspend or terminate a Partner’s participation at any time if we believe the Partner has violated these Terms, abused the Program, or acted in a way that may harm RavenPack.
Prohibited activity includes fraud, fake traffic, cookie stuffing, forced clicks, hidden redirects, attribution manipulation, impersonation, misleading claims, self-referrals, spam and unsolicited outreach, illegal activity, or any other behavior we consider abusive or harmful.
You may terminate your participation at any time by closing your Partner Account. By closing your Partner Account, you irrevocably waive and forfeit any right to receive any Commission that has not been approved or other amount that has not been paid to you as of the date of closure, and you release RavenPack from any and all claims arising out of or relating to the Program, in each case to the maximum extent permitted by applicable law and except for any claim that cannot be waived or released under applicable law. We may terminate your participation, or discontinue the Program, on 10 days’ notice, or immediately in the cases described above. If a Partner is suspended or terminated, they must stop using their Referral Links, the Brand Assets and Program materials and remove or update, within 5 days, any promotional content under their control that contains their Referral Link. We may withhold, reverse, or cancel, and instruct Dub to withhold or cancel, any Commissions associated with a violation of these Terms. For the avoidance of doubt, any Commissions validated and approved before termination, and not associated with a violation, will be paid in accordance with Section 4.1.
12. Confidentiality
Partners may receive non-public information about RavenPack, our customers, products, offers, roadmap, pricing, Program performance, or business operations. Partners must keep this information confidential and may only use it to participate in the Program.
13. Data protection
RavenPack and you each act as independent controllers of the personal data each processes in connection with the Program. We process your personal data as described in our Privacy Notice. Dub processes your personal data as an independent controller for the purposes of your account with it, identity verification, sanctions screening, tax compliance and payouts, and on our behalf for the tracking of referrals and the calculation of Commissions. You must comply with applicable data protection and electronic communications laws towards your own audience, including in relation to consents for marketing and cookies. You may not collect personal data of prospective customers in order to pass it to us, and you may use the referral information shown in your Partner Dashboard only to monitor your participation in the Program.
14. Relationship of the Parties
14.1 No employment relationship; independent parties; costs
Participation in the Program does not create an employment, agency, partnership, joint venture, franchise, or fiduciary relationship between the Partner and RavenPack. Partners may not negotiate or conclude any contract, make commitments or representations on our behalf, or quote prices or terms other than those we publish. All contracts with Referred Customers are concluded directly between RavenPack and the Referred Customer. Save as expressly provided in these Terms, no payment of any kind is due to the Partner, and the Partner bears its own costs, expenses, taxes, social security contributions and any other charges that may arise from its participation in the Program. The tracking of referrals and the calculation and payment of any amounts under the Program shall be the sole responsibility of Dub and shall be governed by the Dub Partner Terms.
14.2 Non-exclusivity
The Program is non-exclusive. We may work with other partners, affiliates, creators, agencies, and referral sources. Partners may also work with other companies, provided they comply with these Terms.
15. Indemnification
Partners agree to defend, indemnify, and hold harmless RavenPack from claims, damages, losses, liabilities, costs, and expenses arising from their promotional activity, content, breach of these Terms, violation of law, or misuse of the Brand Assets.
16. Disclaimer and limitation of liability
16.1 No guarantee
We do not guarantee that participation in the Program will result in traffic, referrals, customers, revenue, Commissions, or any other benefit.
16.2 Limitation of liability
To the maximum extent permitted by law, RavenPack will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption arising from the Program or any access to the Platform. RavenPack’s aggregate liability arising out of or in connection with these Terms will not exceed the total Commissions approved by RavenPack in respect of your referrals in the 12 months preceding the event giving rise to the claim. Nothing in these Terms limits liability for fraud, gross negligence, wilful misconduct, death or personal injury, or any liability that cannot be limited under applicable law.
17. Changes to these Terms
We may update these Terms or the Program Rules from time to time by giving you at least 30 days’ notice by email or through your Partner Dashboard. Changes required by law, or changes that do not adversely affect you, may take effect immediately. Continued participation in the Program after the changes take effect means the Partner accepts the updated Terms or Program Rules, as applicable. If you do not agree, you may terminate your participation before the changes take effect. Changes do not affect Commissions already approved.
18. Governing law and jurisdiction
These Terms and any related disputes will be governed by the laws of the State of New York, United States, without regard to its conflict of laws rules. The state and federal courts located in New York County, New York have exclusive jurisdiction over any dispute arising out of or in connection with these Terms. To the extent permitted by law, each Party waives any right to a jury trial. If you participate in the Program as a consumer, this Section 18 does not deprive you of the protection of the mandatory laws of your country of residence or of your right to bring proceedings in its courts.
19. General
Assignment. You may not assign, transfer or subcontract any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer any of our rights and obligations under these Terms, without your consent, to any of our Affiliates or to any successor in connection with a merger, acquisition, reorganisation or sale of all or substantially all of the business or assets to which these Terms relate.
Severability. If any provision of these Terms is held invalid, illegal or unenforceable, it will apply with the minimum modification needed to make it valid and enforceable, and the remaining provisions will continue in full force and effect.
Force majeure. RavenPack is not liable for any delay or failure to perform its obligations under these Terms, or for any interruption of the Program or the Platform, caused by events beyond its reasonable control. These include natural disasters, epidemics, war, terrorism, civil unrest, governmental action, labour disputes, failure of utilities, telecommunications or internet services, cyber-attacks, and the failure or unavailability of Dub, any payment service provider or any third-party data or content provider. This paragraph does not excuse you from complying with Sections 5 (Promotion rules), 6 (Anti-bribery and anti-corruption) or 7 (Brand usage).
No waiver. No failure or delay by RavenPack in exercising any right or remedy under these Terms operates as a waiver of it. No single or partial exercise of any right or remedy prevents any further exercise of it or of any other right or remedy.
No third-party beneficiaries. Except for RavenPack’s Affiliates in respect of Sections 15 (Indemnification) and 16 (Disclaimer and limitation of liability), no person other than you and RavenPack has any right to enforce any of these Terms.
Language. These Terms are drafted in English. If they are translated into any other language, the English version prevails in case of any inconsistency.
Electronic communications. You agree that these Terms may be accepted, and that all notices, approvals, consents and other communications under them may be given, electronically, including by email or through your Partner Dashboard. Electronic communications satisfy any legal requirement that a communication be in writing. A notice sent by email is deemed received on the next Business Day after it is sent, unless the sender receives a delivery failure message.
Entire agreement. These Terms, together with the Program Rules and any other documents expressly referred to in them, are the entire agreement between you and RavenPack regarding the Program. They supersede any prior agreement, understanding or arrangement relating to it.
Survival. Sections 4.1 (Payouts and payout compliance), in respect of Commissions approved before termination, 4.2 (Reversals, recovery and set-off), 8 (Your content and feedback), 10 (Records and audit), 12 (Confidentiality), 15 (Indemnification), 16 (Disclaimer and limitation of liability), 18 (Governing law and jurisdiction) and 19 (General), and any other provision of these Terms which by its nature is intended to survive, survive the termination of your participation in the Program or the discontinuation of the Program.
20. Contact and notices
