1. Introduction
Thank you for using Bigdata MCP Connector!
Bigdata provides a Model Context Protocol implementation designed to interface between Bigdata Content and Third-party Content with third-party AI Host Platforms. Bigdata is a technical intermediary.
1.1 Corporate Identity and Ownership. The Bigdata MCP Connector is a proprietary technology owned, operated, and provided by RavenPack International S.L.U. (“RavenPack”). All references to “Bigdata” or “the Service” within these Terms shall be understood as services provided by RavenPack.
1.2 Bigdata role. We provide the "handshake" that allows a Host Platform to read, query, or modify your data based on your prompts.
1.3 No Model Ownership. Bigdata does not own, manage, or influence the underlying Large Language Models (LLMs) provided by the Host Platforms.
1.4 The Agreement. By configuring, installing, or authorizing the Bigdata MCP within a third-party AI Host Platform, the MCP User enters into a legally binding agreement with Bigdata. If you are connecting Bigdata on behalf of an entity, you represent that you have the legal authority to bind that entity.
2. Definitions
"AI Host Platform" (or "Host") shall mean any third-party software application, interface, or infrastructure—including but not limited to Large Language Models (LLMs), General Purpose AI (GPAI) systems, or agentic frameworks that acts as the primary orchestrator of user interactions.
“Affiliate(s)” means any business entity from time to time controlling, controlled by, or under common control with either Party.
“Confidential Information” means information in any form or medium (whether oral, written, electronic or other) that is non-public and that a party (the “Disclosing Party”) considers confidential or proprietary, including information consisting of or relating to the Disclosing Party’s technology, trade secrets, know-how, business operations, plans, strategies, customers, and pricing, and information with respect to which the Disclosing Party has contractual or other confidentiality obligations. Without limiting the foregoing: all Bigdata Content and Third-Party Content are Confidential Information.
"Bigdata Content" means all proprietary and licensed data, analytics, and insights provided by or made available through the Services including but not limited to structured and unstructured data, sentiment scores, classifications, tags, numerical values, and other metadata. Bigdata Content may include information derived, processed, or enhanced by Bigdata MCP or its licensors.
"Bigdata MCP" (or "Connector") shall mean the proprietary implementation of the Model Context Protocol developed and operated by Bigdata.
“Bigdata MCP User” means any individual or entity that accesses and uses the services provided by Bigdata MCP.
"Model Context Protocol" (or "MCP") shall mean the open-standard JSON-RPC based communication protocol used to facilitate secure, bidirectional data exchange between an AI Host Platform and a remote or local data source. For the purposes of these Terms, "MCP" refers to the technical framework through which the Bigdata Connector exposes specific resources (static data) and tools (executable functions) to the AI Host Platform.
“Response” means any output, data, content, or information generated, retrieved, or provided by the AI Host Platform, including but not limited to text, numerical values, analytics, reports, summaries, insights, or other processed data.
“Search(es)" means any Customer input, query, instruction, filter, reference, command, or order entered into AI Host Platform, including but not limited to typed text, or any form of interaction designed to request information, generate a response, or initiate a conversation on a specific topic.
“Service(s)” shall mean the proprietary Bigdata MCP technical infrastructure and server-side software provided by Bigdata, including its specific implementation of the Model Context Protocol and associated APIs. The Services are limited to the provision of a standardized data-interchange gateway designed to enable the discovery, retrieval, and transmission of structured and unstructured Resources, and the invocation of pre-defined Tools (functional command executions), by authorized third-party AI Host Platforms. Notwithstanding any automated output generated by an AI Host Platform, the scope of the Services is strictly confined to Data Intermediation and Component Provisioning.
“Third-party Content” means all information, data, media, or other materials provided by external sources, including but not limited to publishers, data providers, service providers, social media platforms, websites, and other third-party contributors. This content may include, without limitation, news articles, social media posts, transcripts, documents, images, videos, or any other type of information.
3. Access to the Bigdata MCP
3.1. Access. The Services may only be accessed, viewed, and used by you. You shall not grant access to, or otherwise permit use of the Services by any third party, including other individuals or entities. You may not extract, reproduce, distribute, or make available any Bigdata or Third-Party Content outside the scope of the rights expressly granted under these Terms.
3.2. Equipment. You shall acquire, install, operate, and maintain at your own expense all communications lines, equipment, services, and related technology necessary to access and properly use Bigdata MCP in accordance with these Terms.
3.3. Assignment. You may not assign or delegate any rights or obligations under these Terms, including in connection with a change of control. Any purported assignment and delegation shall be null and void.
4. License
4.1. Grant of License. Subject to these Terms, Bigdata hereby grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access the Services.
4.2. Termination and Effects of Termination. Upon termination or expiration of the license:
- 4.2.1. Termination of Access: The Bigdata MCP Connector will cease to transmit Context to the AI Host Platform, and all active "Tools" will be disabled.
- 4.2.2. License Requirement: To maintain or restore the Service, the Bigdata MCP User must formally procure the relevant commercial license by executing a valid Master Agreement and Order Schedule and paying the applicable fees as set forth therein.
- 4.2.3. Data Purge and Deletion. The Bigdata MCP User shall promptly purge, delete, or otherwise render permanently inaccessible all Bigdata Content, Third-Party Materials, and any copies, cached "chunks," or extracts thereof stored within its systems, environments, or any infrastructure previously authorized for use with the Services (including but not limited to local MCP configurations or vector databases used for RAG).
- 4.2.4. Certification of Compliance. Upon written request from RavenPack, the Bigdata MCP User shall certify in writing, via an authorized representative, that the comprehensive deletion and removal of all proprietary materials have been completed in full.
- 4.2.5. Permitted Retention. Notwithstanding the foregoing, the Bigdata MCP User the Responses already lawfully generated and in its possession, solely to the extent necessary for: (a) mandatory regulatory compliance; (b) internal record-keeping or audit purposes; or (c) routine system backup obligations.
- 4.2.6. Prohibition on Reuse: Such retained materials shall not be further utilized to access, recreate, substitute, or commercially exploit the Services or the underlying Bigdata datasets.
- 4.2.7. RavenPack Data Obligations. RavenPack shall delete or anonymize anyBigdata MCP User data in accordance with RavenPack’s internal data retention policies and applicable law (including GDPR). Upon written request, RavenPack may provide written confirmation that such deletion has been executed.
4.3. Compliance with laws and Terms of Service. You will comply with these Terms and all applicable laws when using the Services.
4.4. Intellectual property. The license granted herein provides a right to access and use the Services only and does not transfer any ownership rights, database rights, or proprietary interests in the Bigdata Content, Responses, datasets, or underlying data collections. Bigdata and its licensors retain all rights, title, and interest in and to the Services, Bigdata Content and Third-Party Content, including all intellectual property rights (e.g., copyrights, trademarks, patents, trade secrets). This includes, but is not limited to, the Services' names, design, datasets, format, and underlying technology. Any suggestions, feedback, or ideas you provide about the Services or are considered non-confidential and become the property of Bigdata MCP. We value your input and may use it to improve the Services without any obligation to compensate you.
4.5. Name and logo usage. By using the Services you authorize Bigdata to use your company name, logo, or app icon for promotional purposes. This includes, but is not limited to, our website, social media channels, client presentations, case studies, press releases, and other promotional content.
4.6. Use of your data. You hereby grant RavenPack a limited, non-exclusive, non-transferable right to use your data only as necessary to perform the Services and its obligations under these Terms.
5. Restrictions
The Service is intended for real-time, context-specific data retrieval to support individual AI-driven inquiries. Customer shall not, and shall not permit any third party (including the AI Host Platform) to:
5.1 Extraction and Intellectual Property Abuse
- 5.1.1 Systematic Extraction: Engage in unauthorized scraping, web harvesting, bulk downloading, or any automated process designed to replicate, redistribute, or create a database/archive of Bigdata Content or Third-Party Content.
- 5.1.2 Competitive Development: Access the Services to develop a substitute or competing product, or to otherwise place RavenPack at a commercial disadvantage.
- 5.1.3 IP Integrity: Disassemble, reverse engineer, or attempt to derive the source code of the Services; or remove any proprietary notices, trademarks, or "AI-generated" watermarks from the Service or its Responses.
5.2 AI Model Training and Derivative Works
- 5.2.1 Model Exploitation: Use the Services, Bigdata Content, or Responses to create, train, fine-tune, or evaluate any machine learning models, large language models, or synthetic datasets without express written consent from RavenPack.
- 5.2.2 Attribution: Falsely claim that any Response or data provided via the MCP was human-generated.
5.3 Security and Technical Integrity
- 5.3.1 Circumvention: Bypass or disable any security device, rate-limit, or protection mechanism; or access the Services through any means other than authorized credentials.
- 5.3.2 Service Interference: Upload or transmit any malicious code (viruses, malware) or engage in activities that damage, disrupt, or impede the operation of the Bigdata MCP or its provision to other users.
- 5.3.3 Unauthorized Integration: Combine or integrate the Services with any technology or software not expressly authorized by RavenPack in the applicable Order Schedule.
5.4 Legal and Regulatory Compliance (EU AI Act & GDPR)
- 5.4.1 Prohibited AI Practices: Use the Services for any purpose prohibited by Article 5 of the EU AI Act, including but not limited to social scoring, prohibited biometric categorization, or untargeted scraping of facial images.
- 5.4.2 Data Protection: Provide or upload any Personal Information through the Service that violates the General Data Protection Regulation (GDPR) or applicable local privacy laws.
- 5.4.3 General Legality: Use the Services in any manner that infringes upon the intellectual property rights of others or violates any applicable local or international laws.
5.5 Commercial Restrictions
- 5.5.1 Unauthorized Transfer: Rent, lease, sublicense, sell, or otherwise make the Bigdata MCP available to unauthorized third parties.
- 5.5.2 Scope of Use: Access the Services beyond the specific scope and seat count granted under the Customer’s Order Schedule.
- 5.5.3 Third-Party Integration & Wrapping: You shall not incorporate, embed, or use Bigdata MCP as a component of any third-party service, software, platform, or commercial product (e.g., "AI Wrappers" or white-labeled platforms) without the express, prior written authorization of RavenPack.
6. Content
6.1. Contextual Data Provisioning. Through the interface provided by the AI Host Platform, Users may apply filters, parameters, and instructions to identify specific data (the "Context"). Upon receipt of a valid request via the MCP, the Bigdata MCP Service shall retrieve the relevant information from authorized data sources—including Third-Party Content—and transmit such Context to the AI Host Platform. The AI Host Platform then utilizes this Context as grounding data to generate a final Response. The Bigdata MCP User acknowledges that Bigdata MCP’s role is strictly limited to the retrieval and delivery of this Context to the AI Host Platform and does not extend to the generation of the final Response or conversational output.
6.2 Variability of AI Interpretation. The Bigdata MCP User acknowledges that Bigdata MCP is a data-delivery mechanism and does not control the final output of the AI Host Platform.
- Similarity: Because the Service provides factual data, different Bigdata MCP User querying the same public events (e.g., corporate bankruptcies) may receive identical or similar Context.
- Divergence: The final Response received by the Bigdata MCP User may differ from other users based on (i) the specific AI Host Platform’s reasoning logic; (ii) the prompts used by the Bigdata MCP User; and (iii) the specific version or "temperature" settings of the third-party model, over which Bigdata exercises no control.
6.3 No warranties over Responses. Bigdata makes no guarantees regarding the accuracy, completeness, or reliability of any Response, and all use of such output is at the recipient’s sole risk.
6.4 Ownership of Inquiries and Responses. RavenPack makes no claim of intellectual property ownership over the Searches or the final Responses. As between the Bigdata MCP User and RavenPack, the Bigdata MCP User retains all rights to the Searches and is granted a non-exclusive right to utilize and share the Responses for the Purpose, provided the Bigdata MCP User remains in full compliance with these Terms. The provision of a Response by the AI Host Platform does not constitute a transfer of ownership, a sale, or a permanent license to the underlying Bigdata Content or Third-Party Content contained therein. Any excerpts, snippets, or reference documents provided through the MCP are licensed only for the specific, transient purpose of grounding the AI's Response.
6.5. Use of Searches and Response by Bigdata MCP. In all cases we will use the Searches and Response to provide, maintain, and improve the Services, comply with applicable laws, and enforce our policies. We may generate aggregated, anonymized, statistical, or derivative analytics derived from usage of the Services for purposes of service improvement, security monitoring, benchmarking, and product development, provided such analytics do not identify Customer or disclose Confidential Information.
6.7. Non-Reliance and Professional Disclaimer. You acknowledge that the Services are provided for informational purposes only and do not constitute professional advice (legal, tax, investment, or otherwise). You are responsible for evaluating the accuracy of each Response. The Services do not constitute any investment, tax, or legal recommendation, representation, endorsement, or arrangement, and no person should rely on them for any reason, including, without limitation, in connection with any investment decision.
7. Disclaimers
7.1. Limitation of Role.Technical Intermediation: Bigdata acts strictly as a data-connector and an AI Component Provider under Regulation (EU) 2024/1689 (the “EU AI Act”). Bigdata MCP User remains solely responsible for ensuring that its use of the Services complies with applicable laws and regulations, including the EU AI Act, data protection laws, and any sector-specific obligations.
7.2. No Model Ownership. RavenPack does not own, manage, or influence the underlying Large Language Models (LLMs) or algorithmic logic provided by the AI Host Platforms.
7.3. Separation of Inference. RavenPack expressly disclaims liability for the "reasoning," interpretations, or "hallucinations" generated by the AI Host Platform using information transmitted via the Service.
7.4. High-Risk Use Cases. Where the Bigdata MCP is used to supply data to or support a high-risk AI system within the meaning of Annex III of the EU AI Act, the Bigdata MCP User, acting as Deployer, shall be solely responsible for complying with deployer obligations under the AI Act, including conducting and documenting a Fundamental Rights Impact Assessment (FRIA) where required pursuant to Article 27 prior to deployment and during operational use where applicable.
7.5. AI Transparency Bigdata MCP User. Bigdata MCP Users are hereby informed that, by accessing or using the Bigdata MCP, they interact with or receive outputs generated or assisted by artificial intelligence systems.
8. Confidentiality, Security and Data Protection
8.1. Confidentiality. When accessing and using the Services we may disclose or make available to you Confidential Information. You will exercise due diligence to maintain all Information in confidence and will use the Information solely in connection with the Services. “Due diligence” shall mean at least the same precautions and standard of care which a reasonable person in such a business would use to safeguard proprietary information of its own and its other clients. We will equally exercise due diligence in all Confidential Information you share with us, including documents, information and data uploaded.
8.2. Exclusions to Confidential Information. Confidential Information does not include information that: (a) was rightfully known by you without restriction on use or disclosure prior to such information being disclosed or made available by us; (b) was or becomes generally available to the public other than by you noncompliance with this Terms; (c) was or is received by you on a non-confidential basis from a Third-Party that was not or is not, at the time of such receipt, known by you to be under any obligation to maintain its confidentiality; or (d) was or is independently developed by you without reference to or use of any Confidential Information.
8.3. Security. Bigdata will employ all physical, administrative, and technical controls, screening and security procedures, and other safeguards reasonable to help secure your access to Bigdata MCP and the use of the Services.
8.4. Control. You have and will retain sole responsibility for: (i) all data, including its content and use; (ii) all information, instructions, and materials provided by you in connection with the Services; (iii) your information technology infrastructure, including computers, software, databases, electronic systems (including database management systems) and networks, whether operated directly by you or through the use of third-party services; (iv) all access and use of the Services, including all results obtained from, and all conclusions, decisions, and actions based on such access or use; and (v) any harm caused by Bigdata MCP Users, including individuals who were not authorized to have access to the Service but who were able to gain access.
8.5. Data Protection. You hereby acknowledge and agree that to have access to Bigdata MCP and to use its Services we may require you to process, transmit and/or store your Personal Information (Defined as per Art. 4,1 - EU Reg. 2016/679). By submitting such Personal Information to us, you agree that we may process, transmit and/or store Personal Information only to the extent necessary for, and for the sole purpose of enabling us to perform our obligations under these Terms and the respective subscription. In relation to all Personal Information provided by you to us, you will be responsible as an independent Data Controller for complying with all applicable data protection or similar laws such as EU Regulation 2016/679 (“GDPR”) and laws implementing the GDPR that regulate the processing of Personal Data and special categories of data as such terms are defined in the GDPR. 8.6. Monitoring and Abuse Prevention. RavenPack may monitor usage of the Services, including MCP interactions, queries, and access patterns, for purposes of security, fraud prevention, service integrity, licensing compliance, and abuse detection. Such monitoring shall be performed in accordance with applicable data protection laws and shall not include review of Bigdata MCP User´s Confidential Information beyond what is reasonably necessary for these purposes.
9. Indemnification; Disclaimer of Warranties; Limitations on Liability
9.1. Indemnity. You will defend, indemnify, and hold harmless RavenPack, its Affiliates, its directors, and its personnel, from and against any claims, losses, liabilities, and expenses (including but not limited to attorneys’ fees and costs) arising from or relating to your use of the Services, products or services you develop or offer in connection with the Services, and your breach of these Terms or violation of applicable law.
9.2. Limitations of liability. RAVENPACK AND ITS SUBSIDIARIES, AFFILIATES, LICENSORS, SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES AND LICENSORS (“THE RAVENPACK PARTIES”) WILL NOT BE LIABLE (JOINTLY OR SEVERALLY) TO THE BIGDATA MCP USER OR ANY THIRD PARTY, FOR INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST SAVINGS AND LOST REVENUES (COLLECTIVELY, THE “EXCLUDED DAMAGES”), WHETHER OR NOT CHARACTERIZED IN NEGLIGENCE, CONTRACT, OR OTHER THEORY OF LIABILITY, EVEN IF ANY OF THE RAVENPACK PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF OR COULD HAVE FORESEEN ANY OF THE EXCLUDED DAMAGES, AND IRRESPECTIVE OF ANY FAILURE OF AN ESSENTIAL PURPOSE OF A LIMITED REMEDY. IN NO EVENT WILL THE LIABILITY OF THE RAVENPACK PARTIES ARISING OUT OF ANY CLAIM RELATED TO THESE TERMS AND/OR THE USE OF THE BIGDATA MCP AND ITS SERVICE OR THE SUBJECT MATTER HEREOF EXCEED THE AGGREGATE AMOUNT OF FIVE THOUSAND UNITED STATES DOLLARS (5.000 USD) . IF ANY APPLICABLE AUTHORITY HOLDS ANY PORTION OF THIS SECTION TO BE UNENFORCEABLE, THEN THE RAVENPACK PARTIES’ LIABILITY WILL BE LIMITED TO THE FULLEST POSSIBLE EXTENT PERMITTED BY APPLICABLE LAW. NOTWITHSTANDING ANYTHING TO THE CONTRARY, IN NO EVENT SHALL THE RAVENPACK PARTIES BE LIABLE (JOINTLY OR SEVERALLY) TO CUSTOMER, OR ANY THIRD PARTY, FOR ANY DIRECT DAMAGES OR EXCLUDED DAMAGES, WHETHER OR NOT CHARACTERIZED IN NEGLIGENCE, TORT, CONTRACT OR OTHER THEORY OF LIABILITY, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE.
9.3. Warranty Disclaimer. CUSTOMER ACKNOWLEDGES AND AGREES THAT THE SERVICE, ANY COMPONENT THEREOF, THE CONTENTS THEREIN, AND ANY ACCOMPANYING DOCUMENTATION ARE PROVIDED ON AN “AS IS”, “AS AVAILABLE” BASIS AND RAVENPACK AND ITS LICENSORS DO NOT MAKE ANY AND HEREBY SPECIFICALLY DISCLAIM ANY REPRESENTATIONS, ENDORSEMENTS, GUARANTEES, OR WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS. UNDER NO CIRCUMSTANCES SHALL ANY OF THE BIGDATA MCP, THE BIGDATA CONTENT, AND/OR THE SERVICE PROVIDED HEREIN BE CONSTRUED AS A BUY OR SELL RECOMMENDATION, OR INVESTMENT OR TAX ADVICE OF ANY KIND. CUSTOMER ACKNOWLEDGES THAT IT IS RESPONSIBLE FOR DETERMINING THE NATURE, POTENTIAL VALUE AND SUITABILITY FOR ITSELF OF ANY PARTICULAR SECURITY, TRANSACTION OR INVESTMENT STRATEGY AND THAT NEITHER RAVENPACK NOR ITS LICENSORS GIVES SUCH ADVICE OR RECOMMENDATIONS.
10. Dispute Resolution and Jurisdiction
10.1. Direct Dispute Resolution. In the event of any dispute, claim, question, or disagreement arising from or relating to these Terms, whether arising in contract, tort or otherwise, ("Dispute"), you shall first us to resolve the Dispute in an amicable manner. If a Dispute arises, then you shall provide us with written notice at legal@bigdata.com in an email titled "Initial Notice of Dispute," specifically setting forth the precise nature of the dispute. Following receipt of the Initial Notice of Dispute, we shall contact you to learn more about the Dispute, negotiate in good faith and attempt to reach a just and equitable solution of the Dispute that is satisfactory to both parties ("Direct Dispute Resolution"). If the parties are unable to reach a resolution of the Dispute through Direct Dispute Resolution within sixty (60) days of the receipt of the Initial Notice of Dispute, then the Dispute may subsequently be resolved in a court of law as set forth below. 10.2. Jurisdiction. The sole jurisdiction and venue for any litigation arising out of these Terms will be an appropriate federal or state court located in the Borough of Manhattan in the City of New York, the United States of America.
10.3. No class actions. These Terms must be construed as if it was jointly written by both parties. Both Customer and Bigdata MCP agree that each may bring or participate in claims against the other only in their respective individual capacities, and not as a plaintiff or class member in any purported class. No claim under these terms shall be joined to any other claim, including any claim involving any other current or former Customer of the services, and no class arbitration proceedings shall be permitted. In the event of any dispute concerning the validity or enforceability of this provision, such claim must be adjudicated by a court.
10.4. Severability. If any provision of these Terms will be adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision will be limited to the minimum extent necessary so that these Terms will otherwise remain in effect.
11. Miscellaneous
11.1. Relationship of Parties. Neither these Terms, accessing Bigdata MCP, nor the use of its Services shall be construed or deemed to have established any joint venture or partnership or have created the relationship of principal and agent between the Parties.
11.2. Trademarks. You are not allowed to use our name, logo, or trademarks, including but not limited to Bigdata MCP.
11.3. Copyright Complaints. If you believe that your intellectual property rights have been infringed, please write to us at legal@bigdata.com . We will evaluate your complaint and may terminate accounts of infringers. Your complaint should include all the relevant evidence of the infringement, such as a description of the copyrighted work and a description of where the infringing material is in Bigdata MCP.
11.4. Modifications. From time to time, we may modify these Terms. Unless otherwise specified by us, changes become effective for you immediately. We will use reasonable efforts to notify you of the changes through communications via your account, email, or other means. You may be required to click to accept or otherwise agree to the modified Terms.
11.5. Notices. All notices should be provided in writing. We will notify you using the email address you provide us when creating your account. 11.6. Export Control. In its use of the Services, you agree to comply with all export control and economic sanctions and any relevant import laws and regulations of the United States and other applicable jurisdictions. Without limiting the foregoing, (i) you represent and warrant that you are not listed on any U.S. government list of prohibited or restricted parties or located in (or a national of) a country that is subject to a U.S. government export control embargo or economic sanctions, (ii) you will not (and will not permit any of its users to) access Bigdata MCP or use the Services in violation of any U.S. export control or economic sanction, prohibition or restriction, and (iii) you will not submit to the Services any information that is controlled under the U.S. International Traffic in Arms Regulations or that is controlled under any Export Control Classification Number (other than EAR99) on the Commerce Control List of the Export Administration Regulations.
11.7. Waiver. If we decide to not take immediate action in case of your violation of these Terms, it does not mean RavenPack is giving up any of our rights.
11.8. Force Majeure. You understand and agree that we won’t be liable or responsible, or be deemed to have defaulted under or breached these Terms, for any failure or delay in fulfilling or performing any term when and to the extent such failure or delay is caused by any circumstances beyond our reasonable control (a “Force Majeure Event”), including acts of God, flood, fire, earthquake or explosion, war, terrorism, invasion, riot or other civil unrest, embargoes or blockades in effect, national or regional emergency, strikes, labor stoppages or slowdowns or other industrial disturbances, passage of Law or any action taken by a governmental or public authority, including imposing an embargo, export or import restriction, quota or other restriction or prohibition or any complete or partial government shutdown, or national or regional shortage of adequate power or telecommunications or transportation.
11.9 Survival. The following Sections shall survive any termination or expiration of these Terms: 4 (licenses); 5 (Content); 8 (Confidentiality, Security and Data Protection); 9 (Indemnification; Disclaimer of Warranties; Limitations on Liability); and 10 (Dispute Resolution and Jurisdiction).
